1. Acceptance of Terms

By accessing and using the services of Techmatrix Infotech ("Company," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

3. Client Responsibilities

As a client, you agree to:

• Respond to requests for feedback and approvals in a timely manner
• Make payments according to the agreed schedule
• Respect intellectual property rights and confidentiality
• Use delivered services in accordance with applicable laws
• Provide necessary access to systems and resources when required

4. Project Terms and Conditions

4.1 Project Scope

All projects will be defined by a detailed project proposal or statement of work that outlines:

• Project objectives and deliverables
• Timeline and milestones
• Cost and payment terms
• Technical specifications and requirements
• Change management procedures

4.2 Project Changes

Any changes to the project scope must be agreed upon in writing and may result in additional costs and timeline adjustments.

4.3 Project Completion

A project is considered complete when all deliverables have been provided and accepted by the client, or when the client fails to respond to delivery notifications within 30 days.

5. Payment Terms

Payment terms are as follows:

• Payment schedules will be outlined in individual project agreements
• Invoices are due within 30 days of receipt unless otherwise specified
• Late payments may incur a 1.5% monthly service charge
• All prices are exclusive of applicable taxes
• Payment methods accepted include bank transfer, credit card, and other agreed methods
• Work may be suspended for accounts with outstanding balances over 30 days

6. Intellectual Property Rights

6.1 Client Materials

You retain ownership of all materials, content, and intellectual property you provide to us. You grant us a license to use such materials solely for the purpose of providing our services.

6.2 Work Product

Upon full payment, you will own the final deliverables created specifically for your project. We retain the right to use general knowledge, skills, and techniques developed during the project.

6.3 Third-Party Materials

Any third-party materials used in projects remain the property of their respective owners. We will obtain necessary licenses when required.

7. Confidentiality

Both parties agree to maintain confidentiality of sensitive information shared during the course of business. This includes:

• Business strategies and plans
• Technical specifications and proprietary information
• Client data and personal information
• Financial information
• Any other information marked as confidential

This obligation continues for a period of 3 years after the termination of our business relationship.

8. Warranties and Disclaimers

8.1 Service Warranties

We warrant that our services will be performed in a professional manner consistent with industry standards. We do not guarantee specific results or outcomes.

8.2 Disclaimers

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free service
• Compatibility with all systems and platforms

9. Limitation of Liability

In no event shall Techmatrix Infotech be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to our services.

Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific project giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Techmatrix Infotech from any claims, damages, or expenses arising from:

• Your use of our services in violation of these terms
• Your violation of any third-party rights
• Your violation of applicable laws or regulations
• Materials or content you provide to us

11. Termination

Either party may terminate this agreement with 30 days written notice. We may terminate immediately if you breach these terms or fail to make required payments.

Upon termination:

• All outstanding payments become immediately due
• Confidentiality obligations continue
• Each party returns the other's materials
• Work in progress will be completed if payment is secured

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

13. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through:

1. Good faith negotiations between the parties
2. Mediation if negotiations fail
3. Binding arbitration if mediation is unsuccessful

Arbitration shall be conducted in Surat, Gujarat, India, under the rules of the Indian Arbitration and Conciliation Act.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any legal action shall be brought in the courts of Surat, Gujarat, India.

15. Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These terms, together with any project-specific agreements, constitute the entire agreement between you and Techmatrix Infotech and supersede all prior agreements and understandings.

17. Modifications

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services constitutes acceptance of the modified terms.
